Terms of Service

Effective April 28, 2026

These Terms of Service govern your access to and use of Solutioner.ai, a software platform operated by Gadoci Consulting, LLC (“we”, “us”, “Gadoci”). By creating an account or using the platform, you agree to these terms. If you are using Solutioner.ai on behalf of an organization, you represent that you have authority to bind that organization, and the term “you” refers to that organization.

What Solutioner.ai does

Solutioner.ai is a workspace for managing AI opportunities. Teams use it to capture potential AI use cases, document context and constraints, classify initiatives against the L1, L2, and L3 levels of the Gadoci AI transformation framework, and prioritize work in a shared pipeline. The platform also includes a curated AI tools catalog, an AI assistant named Sully that helps draft and refine briefs, comments and activity history, and integrations with external systems through MCP and OAuth.

We may add, change, or retire features over time. We will give you reasonable notice for changes that materially reduce functionality you rely on.

Accounts and access

To use Solutioner.ai you must create an account, either with an email and password or through a supported single sign-on provider. You are responsible for keeping your credentials secure and for activity that happens under your account. Notify us promptly if you believe an account has been compromised.

Within an organization, an owner or admin can invite, suspend, or remove members and can grant or revoke specific permissions. Members should only access organizations and resources they are entitled to use.

Your content

You retain ownership of all data, briefs, comments, files, and other materials you submit to Solutioner.ai (“Customer Content”). You grant us a limited, non-exclusive license to host, process, and display Customer Content as needed to operate the platform, provide support, secure the service, and improve features in ways that do not identify you or your organization.

We do not use Customer Content to train foundation models. When the platform sends content to AI providers in order to generate output for you, we do so under agreements that prohibit those providers from using your content to train their general models. See the Privacy Policy for the current list of subprocessors.

AI-generated output

Solutioner.ai uses third-party large language models to generate drafts, summaries, suggestions, and other output. AI output can be incomplete, out of date, or wrong. You are responsible for reviewing AI-generated content before relying on it for any decision, and you should not treat AI output as legal, financial, medical, or other professional advice.

As between you and Gadoci, output that the platform generates from your inputs belongs to you, subject to the rights of the underlying model provider as described in their terms. You are responsible for how you use that output, including any obligation to disclose that content was AI-assisted in your own context.

Acceptable use

You agree not to use Solutioner.ai to do anything unlawful, infringing, or harmful. Specifically, you will not upload content that violates third-party rights, attempt to access another organization’s data, probe or disrupt the platform’s security, abuse rate limits, scrape the catalog or other shared content for redistribution, or use the AI assistant to generate prohibited content such as targeted harassment, malware, or material that exploits minors. We may suspend or terminate accounts that violate these rules.

Fees and billing

Pricing is agreed upon between Gadoci Consulting and the client as part of their engagement. The terms of that engagement, including fees, billing cadence, and renewal, control over any general pricing shown elsewhere.

Confidentiality

Each party will protect the other’s non-public information with at least the same care it uses for its own confidential information, and will not disclose it except to personnel and contractors with a legitimate need to know, who are bound by similar duties. This does not apply to information that is public, independently developed, or rightfully received from a third party without restriction.

Third-party services and integrations

Solutioner.ai integrates with services you choose to connect, such as identity providers, document stores, and other systems exposed through MCP. Your use of those services is governed by their own terms. We are not responsible for the availability, accuracy, or security of third-party services, and we do not endorse the contents of the AI tools catalog beyond the editorial notes Gadoci publishes there.

Intellectual property

The Solutioner.ai platform, including its software, design, and content authored by Gadoci such as the AI tools catalog opinions and editorial materials, is owned by Gadoci or its licensors. Nothing in these terms transfers ownership of the platform to you. Feedback you send us about the platform may be used without restriction or obligation to you.

Term and termination

These terms remain in effect while you have an account. Either party may terminate for material breach that is not cured within thirty days of written notice. We may suspend access on shorter notice if your continued use poses a risk to the platform or other customers.

On termination, your access ends and we will delete or return Customer Content in line with the retention practices described in the Privacy Policy. Sections that by their nature should survive (ownership, confidentiality, disclaimers, limits of liability, and dispute resolution) will survive termination.

Disclaimers

Solutioner.ai is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or that AI output will be accurate or suitable for any particular use.

Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising out of or related to these terms or the platform. Each party’s total liability for all claims under these terms will not exceed the fees you paid to Gadoci for the platform in the twelve months before the event giving rise to the claim, or USD $100 if no fees apply.

Indemnification

You agree to defend and indemnify Gadoci against third-party claims arising from your Customer Content, your use of the platform in violation of these terms, or your violation of law. Gadoci will defend and indemnify you against third-party claims that the platform itself, used as permitted, infringes the claimant’s intellectual property rights, subject to standard exclusions.

Governing law and disputes

These terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. The parties will attempt to resolve any dispute informally first. Unresolved disputes will be brought exclusively in the state or federal courts located in Dallas County, Texas, and each party consents to that jurisdiction.

Changes to these terms

We may update these terms from time to time. If a change is material, we will give reasonable advance notice through the platform or by email to your account’s primary contact. Continued use after the effective date of an update means you accept the updated terms.
